Overview Top-tier, global law firm is seeking a Senior Corporate Paralegal to join their San Francisco or Palo Alto team. The position is open due to retirement and is a chance to work for an awesome firm frequently listed on the "Best Places to Work" lists. You\'ll also have the support of a great paralegal manager and a robust legal support team. Compensation Base pay range: $160,000.00/yr - $180,000.00/yr Salary is 160,000 - 180,000 DOE + annual bonus. Responsibilities Assist in the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents Coordinate closings and prepare related documents Prepare legal opinions and assemble opinion back-up Draft and file corporate and securities filings Organize corporate records and conduct due diligence reviews Prepare stock certificates and maintain capitalization tables and option records Research Blue Sky issues and prepare required filings Provide training to case assistants and junior paralegals Other tasks as assigned or required Requirements 5+ years of transactional experience in Private Equity, M&A and Public Company matters is desired Available to work overtime, as required Excellent oral and written communication skills Strong attention to detail with the ability to manage multiple priorities and track extensive details Ability to establish and maintain good working relationships with personnel and to handle confidential information sensitively and discreetly Proficiency in the Microsoft Office suite, advanced knowledge of Excel preferred Preferred qualifications Familiarity with Carta, Shareworks, or similar Web based equity tracking system Benefits Excellent benefits package that includes medical, health savings account, dental, vision, health and/or dependent care flexible spending accounts Pre-tax commuter benefits, life insurance, AD&D, long-term care coverage Backup care for children and/or adults and other parental support benefits (parental leave, fertility benefits) Firm-paid life insurance, AD&D, LTD, short term medical benefits 21 days of Paid Time Off (PTO) and 10 paid holidays each year Seniorities & Employment Seniority level: Mid-Senior level Employment type: Full-time Job function: Legal and Administrative Industries: Law Practice Additional information: Referrals increase your chances of interviewing at MC Recruiting.
